LICENSING AGREEMENT

This document is a legal agreement between you, the end-user, and Creative Sauce. By obtaining and/or installing delivered software, you agree to the terms and conditions set forth in this Agreement. This is the Agreement for all fonts by Creative Sauce unless a specific license is included within the purchased font package(s).

1. TERMS AND DEFINITIONS

1.1 “Font Software” (hereinafter “Font”): Any font in any digital format.

1.2 “Workstation”: Any computer which is not a server; this includes, but is not limited to, desktop computers, notebooks, netbooks, tablet PCs, communicators, multiprocessor computers, terminal stations, etc.

1.3 “Basic Desktop Font License”: A license that grants to a user of purchased Font the set of rights listed in this Licensing Agreement.

1.4 “Additional License”: An extension to the Basic License that confers additional rights. It includes but not limited to the right to modify the Font, installation on a server unit, and the use of font on websites and mobile applications.

1.5 “Licensee”: A person, company, organization, or agency to whom the license is granted or issued.

1.6 “Licensor”: Pertains to Creative Sauce

1.7 “Creative Sauce”: Creative Sauce Fz LLC, a design agency based in Dubai, UAE.

2. GRANT OF LICENSE AND RESTRICTIONS

2.1 Non-Exclusivity

This basic desktop font license grants the Licensee a limited and non-exclusive right to use the Font Software in the manner set forth in this agreement.

2.2 Number of Installations

Licensee may install and use the Font on two (2) Workstations that belongs to the Licensee.

2.3 Font Usage

Licensee may use the Font to create images for commercial and non-commercial purposes on any surface such as paper, computer screens, billboards, t-shirts, and other surfaces without limitation on the print run, provided that the image is a fixed size. Licensee may use the Font for texts in video formats (e.g. for movie credits or captions).

2.4 Embedding

Licensee may embed the Font in scalable format in electronic documents for delivery to third parties (such as PDF or EPS files), provided that such documents can only be used for Print and Preview. Licensee may use such documents for commercial distribution in the form of electronic books, magazines, templates for commercial editions, etc.

2.5 Backup copying

Licensee may make one copy of the Font for archival purposes.

2.6 Transfer to third parties

Licensee may not install and use the purchased Font on computers that belong to other persons or companies. Except as expressly provided herein, Licensee may not give, rent, lease or make available the Font or parts of it to third parties. Licensee may completely transfer the license to another person or legal entity, provided that the Licensee stop using the Font, destroy all copies of the Font and send a written notice about the change of licensee to the place of purchase of the Font with registration information about the new licensee, including the licensee’s name and address. Licensee may provide the font to a printer or other service bureau that is working on their behalf as long as they destroy the fonts after the intended use.

2.6 Distribution

Licensee may not distribute the Font or any part of the Font in a commercial or non-commercial manner, either as a standalone product, or bundled with other software or hardware. Licensee must provide the necessary protection against unauthorized access to the Font.

2.7 Modifications

Licensee may not modify, adapt, change the name, translate, reverse engineer, decompile, disassemble, alter, or attempt to discover the source code of the Font. Any such use requires an Additional License from the Licensor. Any derivative fonts created under such Additional License will be completely owned by the Licensor. Licensee may use them in accordance with the restrictions indicated in the current Agreement. Licensee may not distribute fonts, letters, and other characters developed by the Licensee without a special Distribution Agreement signed by the Licensor or its authorised representative.

3. TERMINATION

This Agreement is valid in all territories and has no expiration date. However, this Agreement will terminate automatically if the Licensee fails to comply with any provision contained herein. In this case, Licensee must stop using the Font and destroy all copies of the Font.

4. NO WARRANTY

The font software is provided “AS IS”, without warranty of any kind, express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose, and non-infringement of third-party rights.

5. INTELLECTUAL PROPERTY

Licensee acknowledges that the Licensor owns all intellectual and industrial property rights, title, and interest in and to the Font Software. Licensee agrees that the Font Software is protected by the copyright law and international treaties and should treat the Font Software in the same manner as the Licensee would to any other copyrighted material.

6. DISCLAIMER

THE LICENSOR DISCLAIMS ALL LIABILITY FOR INCIDENTAL, INDIRECT, SPECIAL, AND CONSEQUENTIAL DAMAGES INCLUDING ANY PROFIT LOSS, COMPUTER FAILURE OR MALFUNCTION, LOSS OF DATA OR BUSINESS INTERRUPTION WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF THE USE OR INABILITY TO USE THE FONT SOFTWARE OR FROM OTHER DEALINGS IN THE FONT SOFTWARE. IN NO EVENT SHALL LICENSOR’S TOTAL LIABILITY TO COMPENSATE FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY THE LICENSEE UNDER THIS AGREEMENT.

1.2 “Web Server”: a web server is a computer program that serves requested HTML pages or files. In this case, a web Browser acts as the client.

1.3 “Web Font Licence”: A license that grants to a user of purchased Font the set of rights listed in this Licensing Agreement.

1.4 “Additional Licence”: An extension to theWeb Font Licence that confers additional rights, such as the right to transfer the Font to a service bureau, the right to modify the Web Font(s), etc.

1.5 “Licensee”: A person, company, organization, or agency to whom the license is granted or issued.

1.7 “Creative Sauce”: Creative Sauce Fz LLC, a design agency based in Dubai, UAE.

2.3 Web Font Usage

You may use the Web Font(s) for commercial and non-commercial purposes on any number of Web Servers that belong to you.

2.4 Backup copying

You may make one copy of the Web Font(s) for archival purposes. Upon termination of the Agreement, you must destroy the original and all copies of the Web Font(s).

2.5 Transfer to third parties

You may not install and use the purchased Web Font(s) on Web Server(s) that belong to other persons or companies. Except as expressly provided herein, you may not give, rent, lease or make available the Web Font or parts of it to third parties. You may completely transfer your license to another person or legal entity, provided that you stop using the Web Font(s), destroy all copies of the Web Font(s), and send a written notice about the change of licensee to the place of purchase of theWeb Font(s) with registration information about the new licensee, including the licensee’s name and address.

IN NO EVENT SHALL LICENSOR’S TOTAL LIABILITY TO COMPENSATE FOR ALL DAMAGES EXCEED THE AMOUNT PAID BY THE LICENSEE UNDER THIS AGREEMENT.
